These Terms of Service ("Terms") govern your use of Masterson Payroll's umbrella payroll services. By registering with us, you agree to be bound by these Terms.

1. About Masterson Payroll

Masterson Payroll is an umbrella company registered in England and Wales (Company Number: 15647533). Our registered office is at Regina Mills, Gibson Street, Bradford, England, BD3 9TR.

We provide compliant PAYE umbrella payroll services primarily for healthcare professionals, clinical contractors, care staff, and medical agencies across the United Kingdom.

2. Employment Relationship

When you register with Masterson Payroll, you become our employee under a contract of employment. This means:

• You are entitled to employment rights including holiday pay, sick pay, and statutory protections
• We act as your employer for tax and National Insurance purposes
• You work on assignments sourced through recruitment agencies or end clients
• Your day-to-day work is directed by the end client, not by us

3. Payroll Services

We provide the following services:

• Processing of timesheets and calculation of gross pay
• Deduction and payment of Income Tax and National Insurance to HMRC
• Calculation and inclusion of holiday pay (12.07%)
• Pension auto-enrolment and administration
• Provision of payslips and P60/P45 documents
• Employer's National Insurance contributions
• Professional indemnity insurance

4. Fees and Charges

Our umbrella margin is deducted from your gross pay before tax calculations. This margin covers:

• Payroll processing and administration
• HMRC compliance and reporting
• Employer's National Insurance contributions
• Professional indemnity insurance
• Customer support and account management

The exact margin amount will be clearly stated in your contract and shown on every payslip.

5. Timesheet Submission

You are responsible for ensuring that:

• Timesheets are accurate and approved by your agency or end client
• Timesheets are submitted by the agreed deadline
• All supporting documentation is provided
• You notify us immediately of any errors or discrepancies

6. Payment Terms

Payments are made according to your chosen frequency (weekly or monthly):

• Payment is subject to receipt of funds from the agency or end client
• We aim to process payments within 3-5 business days of receiving cleared funds
• Payments are made via BACS transfer to your nominated bank account
• You will receive a detailed payslip for each payment

7. Tax and Compliance

We operate a fully compliant PAYE umbrella company. All tax, National Insurance, and pension contributions are calculated and paid in accordance with HMRC regulations. You are responsible for ensuring your tax code is correct and notifying us of any changes to your circumstances that may affect your tax position.

8. Termination

Either party may terminate the employment relationship by giving written notice as specified in your employment contract. Upon termination:

• All outstanding payments will be processed
• A P45 will be issued
• Final payslip and year-to-date information will be provided
• You must return any company property

9. Liability and Indemnity

We maintain professional indemnity insurance and employers' liability insurance. However, we are not liable for any losses arising from your work performance, client relationships, or circumstances beyond our reasonable control.

10. Data Protection

We process your personal data in accordance with GDPR and our Privacy Policy. By using our services, you consent to such processing and warrant that all data provided is accurate.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
